Acceptance of Terms

Welcome to Qyverna S.L. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website located at qyverna.world and our corporate finance consulting services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service. These Terms constitute a legally binding agreement between you and Qyverna.

Your acceptance of these Terms also confirms your acceptance of our Privacy Policy, which is incorporated herein by reference.

Description of Service

Qyverna provides corporate finance fundamentals and consulting services to businesses across the European Union. Our services include but are not limited to:

• Financial planning and forecasting
• Risk assessment and management
• Investment advisory services
• Strategic financial consulting
• Regulatory compliance guidance
• Financial modelling and analysis

We reserve the right to modify, suspend, or discontinue any part of our Service at any time with or without notice.

User Obligations

When using our Service, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Use the Service only for lawful purposes

Professional Services Agreement

Our consulting services are provided under separate professional services agreements that will detail specific terms, deliverables, timelines, and fees. These Terms of Service supplement but do not replace such agreements.

All professional advice and recommendations are provided based on the information available at the time and are subject to change as circumstances evolve. We recommend regular reviews of financial strategies and decisions.

Client confidentiality is paramount to our business. We maintain strict confidentiality regarding all client information and comply with applicable professional standards and regulations.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Qyverna and its licensors. The Service is protected by copyright, trademark, and other laws of Spain and the European Union.

Our trademarks, trade names, and logos may not be used in connection with any product or service without our prior written consent. All other trademarks mentioned on our website are the property of their respective owners.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as permitted under these Terms or with our prior written consent.

Any feedback, comments, or suggestions you provide regarding our Service may be used by us without restriction or compensation to you.

Payment Terms

Fees for our consulting services will be specified in separate service agreements. Unless otherwise agreed, payment terms are as follows:

• Invoices are payable within 30 days of receipt
• Late payments may incur interest charges as permitted by law
• All fees are quoted in Euros (EUR) unless otherwise specified
• Taxes, if applicable, will be added to invoiced amounts

We reserve the right to suspend services for accounts with overdue payments until payment is received.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Qyverna, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount paid by you to us in the 12 months preceding the claim.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. The Service is provided on an "as is" and "as available" basis.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Qyverna and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

This indemnification applies to claims resulting from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your use of the Service caused damage to a third party.

Governing Law

These Terms shall be interpreted and governed by the laws of Spain, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Bilbao, Spain, and the parties hereby consent to the personal jurisdiction and venue therein.

If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable EU consumer protection laws.

The European Commission provides an online dispute resolution platform, which you can access at ec.europa.eu/consumers/odr/. We are willing to participate in dispute resolution proceedings before a consumer arbitration board.

Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service and notify us in writing.

For ongoing consulting services, termination procedures will be governed by the specific terms in your service agreement. Generally, either party may terminate consulting services with 30 days' written notice.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

We encourage you to review these Terms periodically for any changes. The "Last updated" date at the top of these Terms indicates when they were last revised.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
